Voucher Slots on Sensi SRVMs (Smart Reverse Vending Machines) are leased subject to the terms of a Voucher Slot Lease (the “Lease”), the terms of which are set out below. By leasing voucher slots from Sensi, the Lessee (“You”) agree to these terms.
1. Monthly Subscription Fee
You will pay Sensi a Monthly Subscription Fee. In return, Sensi will provide the service level and features appropriate to your purchase (Basic, Standard or Premium).
2. Location of the SRVMs
The SRVMs will be located in the Installation Location selected at sign-up. Each SRVM in the Installation Location will host Vouchers and Advertisements.
3. Parties Obligations
You shall provide Sensi with all collateral necessary for Sensi to host and display a Voucher Slot (or Slots) and Advertisements. You acknowledge that Sensi shall not be liable for any delay caused by the unavailability of the necessary collateral.
You shall ensure that the contents of both the Voucher and Advertisement are permitted under law and that the Advertisement and Voucher are legal, decent, honest, accurate, complete and truthful and comply with all relevant laws, regulations and codes of practice.
Sensi shall ensure that the SRVMs will continue to operate in a satisfactory manner with an operating uptime in excess of 90% as measured over a rolling six-month period.
4 Suitability of Advertisement or Voucher
Sensi may, in its sole discretion, refuse to host an Advertisement or Voucher, if it deems such Advertisements or Vouchers to be unsuitable for Sensi’s SRVMs, or inconsistent with Sensi’s commercial policies.
5. Mutual Indemnification
Both parties agree to indemnify and hold each other harmless from any and all liabilities or damages stemming from the hosting of any Advertisements and Vouchers on Sensi’s SRVMs.
6. Data Protection
You acknowledge and consent to details of your name, address, payment record (and if you are an individual to personal data) being processed by Sensi.
7. Renewal
The Lease will automatically renew on a month-by-month basis. Unless you cancel the Lease before the next monthly billing date, the Subscription Fee will be charged on the next billing date. (see How to Cancel)
8. How to Cancel
You can cancel your Lease at any time and you will continue to benefit from the Service through to the end of your billing period. Payments are non-refundable and we do not provide refunds or credits for any partial periods. To cancel, go to the email received with your initial purchase and follow the instructions for cancellation.
9. Early Termination
The Lease may be terminated early only under the following conditions:
A. If you breach any obligation created by this Lease, Sensi may give you a Notification of Breach which provides you notice identifying the breach, in writing. Upon receipt of such Notification of Breach, you will have seven (7) days to cure the breach. If the breach cannot be cured in seven (7) days, then Sensi is entitled to terminate this Lease with immediate effect.
B: If Sensi breaches any obligation created by this Lease, you may give Sensi a Notification of Breach which provides Sensi notification identifying the breach, in writing. Upon receipt of such Notification of Breach, Sensi will have seven (7) days to cure the breach. If the breach cannot be cured within seven (7) days, you are entitled to terminate this Lease.
10. Severability
If any provision of this Lease should be found invalid or unenforceable, that provision should be severed from the Lease and shall have no effect on the remaining provisions of the Lease.
11. Governing Law
This Lease is subject to the laws and regulations of Ireland.
